1. Definitions & Parties
In these Terms & Conditions, the following terms apply:
- “Saratu” / “We” / “Us” / “Our” refers to Saratu, a company registered in India providing Amazon marketplace management services.
- “Client” / “You” / “Your” refers to any individual, sole trader, partnership, limited company, or other legal entity that engages Saratu’s services or accesses the Saratu website.
- “Services” refers to all Amazon marketplace management services provided by Saratu, including but not limited to seller account setup, product listing optimization, A+ Content, Brand Store creation, Sponsored Ads management, FBA compliance, global expansion support, and consultation.
- “Agreement” refers collectively to the combination of these Terms & Conditions, any signed Service Agreement or Statement of Work, and any written correspondence confirming the scope of services.
- “Amazon” refers to Amazon.com Inc. and its subsidiaries and marketplaces (platforms worldwide), Amazon’s Seller Central, and related Amazon services.
- “Deliverables” refers to the output produced by Saratu for the Client, including listings, A+ Content, Brand Store designs, infographics, reports, and campaign setups.
2. Acceptance of Terms
By engaging Saratu’s services — whether through signing a Service Agreement, making payment, submitting a contact form, or otherwise confirming engagement — the Client agrees to be bound by these Terms & Conditions in their entirety.
If you do not agree to these Terms, you must not engage our services or use our website.
Where there is a legal basis of all engagements: in the event of any conflict between these Terms and any other document (except a signed Service Agreement), these Terms shall prevail unless expressly stated otherwise in writing.
3. Service Usage Terms
The following terms apply to the Client’s use of Saratu’s services.
Scope of Services
- Services are provided as described in the specific Service Agreement or Statement of Work agreed upon between Saratu and the Client. Services are limited to what is explicitly documented in that agreement.
- Any additional services requested beyond the agreed scope will be subject to a separate written agreement and additional fees.
Permitted Use
- Services are provided solely for the Client’s own Amazon selling business. Clients may not resell, sublicense, or transfer Saratu’s services or deliverables to any third party without prior written consent.
- Clients must not use Saratu’s services for fraudulent, deceptive, or illegal activities on Amazon or any other platform.
- Clients must not use deliverables to create listings, reviews, or account activity that violates Amazon Seller Policies, Community Standards, or applicable laws.
Amazon Policy Compliance
- Saratu’s deliverables are created in compliance with Amazon’s current policies and guidelines. However, Amazon policies may change frequently, and Saratu does not guarantee continued compliance of deliverables following any future policy updates.
- The Client acknowledges that final Amazon account and listing approval rests with Amazon, not Saratu.
4. Client Account Responsibilities
The following responsibilities lie exclusively with the Client in relation to their Amazon Seller Central account.
- Account Ownership. The Client is the sole account holder and owner of their Amazon Seller Central account. Saratu operates within the account as an authorized service provider, not as an owner or co-owner.
- Accurate Information. The Client is responsible for providing accurate, complete, and up-to-date information necessary for Saratu to perform the services, including current product listing data, legal documentation, and business information.
- Credential Management. The Client is responsible for maintaining the security of their Amazon credentials. Saratu recommends using dedicated user permissions or sub-accounts wherever possible rather than sharing primary login credentials.
- Account Health. The Client is ultimately responsible for the health and compliance of their Amazon seller account. Saratu monitors and advises but does not guarantee outcomes of Amazon’s own account health decisions.
- Legal & Tax Compliance. The Client is solely responsible for ensuring compliance with applicable Indian laws, GST obligations, import/export regulations, and Amazon Seller Policies. Saratu provides operational support and is not a legal or tax advisor.
- Product Legality. The Client warrants that all products listed and sold through their Amazon account are legally permissible, compliant with applicable product standards, and free from intellectual property infringements. Saratu is not liable for legal issues arising from the Client’s products.
- Access Permissions. The Client is responsible for managing access permissions within their Amazon account. Saratu requests only appropriately scoped, role-based access necessary to perform contracted services.
5. User Obligations
In engaging Saratu’s services, the Client agrees to the following obligations:
- Timely Cooperation. The Client agrees to respond to requests for information, approvals, and feedback within reasonable timeframes. Delays in providing required information may result in corresponding delays in service delivery, for which Saratu shall not be liable.
- Authorized Representative. The individual engaging Saratu’s services on behalf of a company warrants that they have the authority to enter into a binding agreement on that company’s behalf.
- No Interference. The Client must not interfere with, reverse-engineer, or attempt to replicate Saratu’s proprietary strategies, templates, tools, or methodologies.
- Truthful Communication. The Client must provide data, information, or feedback necessary for Saratu to perform its services with truthfulness and accuracy.
- Respectful Engagement. The Client agrees to communicate with Saratu’s team in a professional and respectful manner. Saratu reserves the right to terminate any engagement involving abusive, threatening, or harassing communication.
- Content Compliance. Where the Client provides product content, images, or instructions, the Client warrants that such content does not infringe any third-party copyright, trademark, or intellectual property rights.
- Review & Approval. The Client is responsible for reviewing and approving all deliverables Saratu provides. Saratu shall not be held responsible for errors or compliance issues in deliverables that were approved by the Client.
6. Fees, Payment & Billing
Service fees, payment terms, and billing conditions are outlined below.
- Service Fees. All fees are as agreed in the written Service Agreement or confirmed in writing prior to the start of work. Saratu reserves the right to revise fees for new or ongoing engagements with prior notice.
- Payment Terms. Unless otherwise agreed in writing, invoices are payable within 7 (seven) business days of receipt. Saratu-based service fees may require a deposit (typically 50%) before work commences.
- Late Payment. Saratu reserves the right to pause or suspend services where payment is overdue by more than 14 days. Reasonable late-payment fees may result in continuation of any pending work.
- Non-Refundable Work. Fees for work already completed and delivered are non-refundable, including work the Client chooses not to publish or use commercially. Retainer fees are non-refundable once the billing period has commenced.
- Taxes. All fees are exclusive of applicable taxes (including GST) unless expressly stated otherwise. Saratu will adhere to invoices in accordance with Indian tax laws.
- Ad Spend. Where Saratu manages Amazon Sponsored Ads on behalf of a Client, the Client is responsible for funding their own advertising account. Saratu does not cover management service fees through ad spend, nor will ad spend be invoiced as part of service fees.
7. Intellectual Property
Intellectual property rights relating to Client content and Saratu deliverables are defined as follows:
- Client-Owned Content. All product images, brand assets, and business information provided by the Client remain the intellectual property of the Client.
- Deliverables. Upon full payment of all applicable fees, Saratu assigns to the Client all intellectual property rights in deliverables created specifically for the Client, including listing copy, A+ Content, and Brand Store designs.
- Saratu Proprietary Tools. All proprietary processes, templates, workflows, tools, and methodologies used by Saratu remain the exclusive intellectual property of Saratu and are not transferred to the Client.
- Portfolio Rights. Saratu reserves the right to showcase deliverables for its portfolio, website, or marketing materials, subject to prior Client approval. Saratu may engage in writing this right and will respect any objection.
- Third-Party IP. The Client warrants that any content provided to Saratu does not infringe third-party intellectual property rights. Any liability arising from infringement related to Client-provided content remains solely with the Client.
8. Confidentiality
Both parties acknowledge that in the course of the engagement, each may have access to confidential information of the other, including but not limited to business strategies, financial data, Amazon account performance, pricing, and client information.
- Saratu’s Obligation. Saratu shall maintain all Client confidential information in strict confidence and will not disclose it to any third party except as required by law or with prior written consent. All Saratu team members are bound by confidentiality agreements as a condition of employment.
- Client’s Obligation. The Client agrees to keep Saratu’s confidential information, including proprietary strategies, pricing methodologies, and strictly confidential information, including pricing methodologies, and strictly confidential strategies, not disclosed to a third party or use it for a competitive purpose.
- Duration. Confidentiality obligations survive the termination of the engagement for a period of 3 years.
9. Limitations of Service
The Client acknowledges and accepts the following limitations applicable to Saratu’s services.
- Amazon Results. Saratu does not guarantee specific sales figures, ranking positions, advertising returns, or revenue outcomes. Amazon’s Marketplace performance depends on factors beyond Saratu’s control, including Amazon algorithm changes, competitor activity, pricing, product quality, and consumer demand.
- Amazon Policy Changes. Saratu is not liable for deliverables that become non-compliant due to changes Amazon makes to its policies, guidelines, or technical requirements after delivery.
- Account Suspension or Action. Saratu is not liable for Amazon account suspensions, listing removals, or performance assistance arising from a Client’s prior conduct, content, or compliance practices unrelated to Saratu’s services.
- Third-Party Platforms. Saratu’s services are provided for the Amazon marketplace. Any work performed on other platforms, where applicable, is subject to a separate scope agreement.
- Force Majeure. Saratu shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet outages, or Amazon platform downtime.
- Client Delays. Timelines are dependent on the Client’s timely provision of required materials, approvals, and feedback. Delays caused by the Client may result in corresponding delays to deliverables.
10. Disclaimer of Warranties & Liabilities
This section limits Saratu’s legal liability. Please read it carefully.
Disclaimer of Warranties
Saratu’s services are provided on an “as-is” and “as-available” basis. While we make every reasonable effort to deliver high-quality, effective marketplace management services, we make no warranty — express or implied — that our services will result in specific sales, rankings, or Amazon account performance outcomes.
Limitation of Liability
- Saratu’s liability to the Client in connection with any claim arising from the services shall not exceed the total fees paid by the Client to Saratu for the specific service giving rise to the claim, in any given month.
- Saratu is not liable for any indirect, consequential, incidental, or special damages, including loss of profits, loss of data, or loss of business opportunity, even if Saratu has been advised of the possibility of such damages.
- Saratu is not liable for any loss arising from the Client’s own decisions, actions taken without Saratu’s approval, or activities conducted outside the agreed scope of engagement.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud or willful misconduct.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Saratu, its directors, employees, and contractors from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- The Client’s breach of these Terms & Conditions.
- The Client’s violation of Amazon Seller Policies, applicable law, or third-party rights.
- Inaccurate, misleading, or unlawful product content, images, or information provided by the Client.
- Any unauthorized use of Saratu’s deliverables, tools, or intellectual property.
- Any claims brought against Saratu arising from the Client’s products, business operations, or decisions made independently of Saratu’s recommendations.
12. Term, Termination & Suspension
- Commencement. This Agreement begins on the date the Client engages Saratu or makes the first agreed payment, whichever occurs first.
- Notice Period. Either party may terminate an ongoing engagement or retainer arrangement by providing 30 (thirty) days’ written notice, unless a different notice period is agreed in the Service Agreement.
- Immediate Termination by Saratu. Saratu may immediately terminate any engagement without notice if the Client breaches these Terms, engages in fraudulent or illegal activity, fails to make payment within 30 days of an invoice due date, or conducts themselves in a manner harmful to Saratu’s business or reputation.
- Immediate Termination by Client. The Client may terminate immediately in cases of a material breach by Saratu that remains uncured within 14 days of written notice.
- Effect of Termination. Upon termination, Saratu will cease all active work, provide any outstanding completed deliverables (subject to payment of outstanding fees), and revoke its access to the Client’s Amazon Seller Central account.
- Suspension. Saratu may suspend services without immediate termination where the Client is delinquent on payment, has not responded to required communication for over 30 days, or pending resolution of a dispute.
13. Dispute Resolution Policy
Saratu is committed to resolving disagreements promptly, fairly, and amicably. The following process applies to any disagreement between Saratu and the Client.
- Step 1 – Direct Resolution. Either party may raise a dispute by sending written notice to the other party, outlining the issue. Both parties agree to discuss the matter in good faith within 10 business days.
- Step 2 – Escalation. If unresolved within 30 days, the matter will be escalated to senior management of both parties for further discussion and resolution.
- Step 3 – Mediation. If resolution remains unsuccessful, both parties agree to attempt mediation through a mutually agreed mediator based in Ahmedabad, Gujarat, before pursuing other legal options.
- Step 4 – Legal Proceedings. If mediation fails or either party declines mediation, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Ahmedabad, Gujarat.
Important: The Client agrees to continue performing obligations, including payment, where applicable and reasonable, while disputes are being resolved. All disputes must be raised in writing within 6 (six) months of the event giving rise to the dispute, where applicable, and not be pursued thereafter.
14. Governing Law & Jurisdiction
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.
The international Client agrees that, irrespective of their location of operation, the governing law of these Terms shall remain Indian law.
15. Amendments
Saratu reserves the right to update or amend these Terms & Conditions at any time to reflect changes in our services, business practices, or applicable law. Updated Terms will be posted on this page with a revised “Last Updated” date.
Continued engagement with Saratu’s services after any changes to these Terms constitutes acceptance of the revised Terms. Where changes to the Terms materially affect an active engagement, Saratu will notify the Client directly within a reasonable time before the changes take effect.
